UNITED STATES FOOTBALL LEAGUE

ARTICLE VII - OFFICERS

7.1 Officers
- (a) The officers of the League are the Commissioner, a Secretary, and a Treasurer.  The Secretary and Treasurer are appointed by the Commissioner.  The Commissioner has the right to appoint any other officers or assistants as he, in his sole discretion, deems necessary.  Their duties and compensation must be fixed by the Commissioner in accordance with his approved budget.
- (b) The sole officer in each Conference of the League is the President thereof.  The President of each Conference must be selected by the affirmative vote of not less than two-thirds (2/3} of the members of the Conference for which the person is to serve as President.

7.2 Voting.
- The Commissioner will be elected pursuant to and in accordance with the provisions of Section 8.1 hereof.  Any other officer of the League will be appointed by the Commissioner in accordance with the provisions of Section 7.1(a) hereof, provided, however, that if the Commissioner is unable to do so by reason of death or disability, then the officer will be elected by the affirmative vote of not less than a majority vote of the member clubs of the League.

7.3 Commissioner.
- The powers and duties of the Commissioner are described in Article VIII hereof.

7.4 Treasurer.
- The Treasurer has charge and custody of, and is responsible for, all funds and securities of the League, and may receive and give receipts for monies due and payable to the League from any source whatsoever, and deposit all such monies in the name of the League in such depositories as the Commissioner may determine.  The Treasurer must keep full and accurate accounts of the receipts and disbursements of the League and, in general, perform all of the duties incident to the office of Treasurer and any other duties as from time to time may be assigned to him by the Commissioner or the Executive Committee, including:
- (a) Pay all current bills and salaries after approval by the Commissioner.
- (b) Annually submit to the member clubs detailed financial statements.
- (c) Give a surety bond in the principal sum of not less than Two Hundred Fifty Thousand ($250,000.00) Dollars for the faithful discharge of his duties, with the League named as obligee thereon. The premium will be paid by the League.
- (d) During the playing season, report weekly to each member on attendance and receipts for all games played by member clubs during the preceding week.  This report must also include any deliquency in any amounts owing to the League and any other inforrnation the Treasurer deems expedient,

7.5 Secretary.
- The Secretary must keep records of all proceedings of the League, including the minutes of the membership meetings and Executive Committee meetings authorized under the Constitution one or more books provided for that purpose, cause all notices to be duly given as required by law and the provisions of the Constitution or By-Laws, be custodian of the League records, keep a register of the Post Office addresses of each member, and, in general, perform all the duties incident to the office of Secretary and any other duties as may from time to time be assigned to him by the Commissioner or the Executive Committee.  The Secretary will supply the member clubs with a record of the action taken at any meeting within twenty (20) days following the adjournment thereof and must also furnish the member clubs formal minutes of each meeting within ninety (90) days following the adjournment of each meeting.

7.6 Disability of Commissioner.
- If, by reason of physical or mental disability, the Commissioner is unable to discharge or perform the duties of his office, or is unwilling to do so, then, during any such period, the Executive Committee may require any other member of the Commissioner's staff to perform the duties of the Commissioner until such time as either the disability is removed or the members act after the call for a Special Meeting under Section 6.5(e).
