ARTICLE XIII - BY-LAWS AND RULES

13.1 Adoption and Effect.
- By action of the League members at any Annual fleeting or special meeting, By-Laws of the League may be adopted specifying rules and procedures relating to the activities of the League, the Members and all owners, stock-holders, directors, officers, partners, trustees, and others holding Membership interests.  By-Laws so adopted constitute agreements binding upon, and enforceable against, any and all of the aforementioned entities, individuals, and groups.  Each Member, and each and all of the owners, stockholders, officers, directors, partners, trustees, and interest holders agree to be bound by the provisions of the By-Laws to the same extent as to the provisions of this Constitution.  The Constitution shall overrule any and all provisions of the By-Laws or League resolutions that contradict the Constitution in any way, and the By-Laws shall overrule any and all League resolutions that contradict them in any way.

13.2 Amendment of By-Laws.
- Except to the extent otherwise provided in a By-Law adopted by vote of the League members, the vote of a majority of the member clubs of the League, or unanimous consent under Section 15.2, is necessary to amend the By-Laws.
